This End User License Agreement (“License”) is between Western Media (the “Company”) and the business or individual who purchases or uses OvalPOS (the “Licensee”). It forms part of the Terms of Service. If there is a conflict on licensing scope, this License controls. If you have a signed OvalPOS contract, that signed contract prevails over this page to the extent of any conflict. By using OvalPOS you accept this License. If you do not agree, you must not use the Software.
1. Grant of license
Subject to timely payment of applicable setup fees and subscription charges, the Company grants the Licensee a limited, non-exclusive, non-transferable, revocable license to access and use the OvalPOS software, systems, interfaces, documentation, and related materials (the “Software”) as a hosted/cloud service for the Licensee’s internal business operations, for the number of outlet licences purchased only.
2. Scope — per outlet
- A Single Outlet subscription licenses OvalPOS for one physical business location.
- A Multi-Outlet subscription licenses OvalPOS for each paid outlet on that plan.
- Additional outlets require additional licenses or an upgraded plan before go-live at that location.
- Multiple devices (iPad, Android, Windows, Mac, or till terminals) at a licensed outlet may use the Software over that outlet’s network, subject to fair use and system limits, unless we agree otherwise in writing.
- One outlet licence must not be shared across separate businesses or unrelated locations.
3. What the subscription includes
While the subscription is active and paid, the hosted plan typically includes:
- Cloud instance hosting and server operating costs
- Scheduled datacenter / AWS VPS maintenance
- Daily backup services
- Periodic OvalPOS software updates and selected functionality improvements
- Periodic software security patching
The first year’s subscription may be bundled with setup as stated on your invoice. Hardware (computers, printers, scanners) is not included unless purchased separately. You remain responsible for keeping the operating system on your devices patched. We may deprecate older operating systems, supporting software, or minimum hardware specifications; we will use reasonable endeavours to give 60 days’ notice, after which you must migrate at your expense.
4. Ownership
OvalPOS, including all software, documentation, designs, fonts, interfaces, updates, and restore tools, remains the exclusive property of Western Media and its licensors. This License does not sell the software. Rights not expressly granted are reserved. The Licensee retains ownership of its own business data entered into the system. Third-party components may require you to accept that licensor’s terms.
5. Restrictions
The Licensee shall not:
- Copy, sublicense, rent, lease, lend, charge, redistribute, or resell OvalPOS to third parties
- Reverse engineer, decompile, disassemble, decrypt, or attempt to derive source code except where law prohibits this restriction
- Modify the Software or create derivative works, or remove proprietary notices, name plates, or trademarks
- Use the software to provide a competing hosted POS bureau without written consent
- Use Western Media proprietary interfaces to design or distribute third-party devices that emulate OvalPOS
- Install additional unapproved software on a managed System except at the Licensee’s own risk
You must accept automatic Software updates. You should keep your own local backups of critical exports where practical. We are not liable for data loss from maintenance; we will use reasonable endeavours to restore from our backups and may charge if the loss was caused by your environment.
6. Integrations
Optional integrations (payments, SMS, ecommerce, accounting, GRA E-VAT, 2FA) may require third-party accounts and fees. Enabling them does not transfer ownership of OvalPOS and does not expand this License beyond the subscribed outlets.
7. API
If API access is enabled, Western Media owns the APIs. You receive a limited, worldwide (except as we restrict), non-exclusive, non-transferable right to use them to access your own data. You own your customer, sales, product, and stock data. You must honour your own customers’ privacy rights, remove client data they ask you to delete within 24 hours, and not use the APIs to clone OvalPOS, conceal your identity, run spyware or ads, violate law, destabilise our servers, or sell API access without written agreement. We may rate-limit, change, suspend, or withdraw APIs or API support without liability, and may introduce fees with at least 30 days’ notice. APIs are provided “as is”; you must verify integrity of data read or written through them.
8. Term
The License runs for the paid subscription period and renews when the annual plan is renewed. It ends automatically if you fail to comply with this License or the Terms. If payment lapses, the Company may restrict or suspend access. After termination, the Licensee must stop using the Service. Data remains available to download for 30 days; contact support@ovalpos.com. Subscription fees are non-refundable.
9. Support
Support covers installation, configuration, and general questions about supported hardware and software during the Working Hours in the Terms of Service. Custom development is outside this License unless agreed in a separate statement of work. Virus protection on your devices remains your responsibility.
10. Warranty disclaimer and liability
The software is provided in accordance with the disclaimer and limitation of liability in the Terms of Service, including the cap at fees paid or payable for the relevant services.
11. Governing law
This License is governed by the laws of the Republic of Ghana, with venue in Accra.
